Stacked Club Affiliate Program Terms

These Affiliate Program Terms (the “Affiliate Terms”) form a legally binding agreement between you (“Affiliate,” “you,” or “your”) and Stacked Club LLC, a Wyoming limited liability company (“Stacked,” “we,” “us,” or “our”), governing your participation in the Stacked Club Affiliate Program (the “Program”). These Affiliate Terms are in addition to, and incorporate by reference, the Stacked Club Terms of Service published at stackedclub.com/legal (the “Terms of Service”) and the Privacy Policy published at stackedclub.com/legal#privacy. In the event of a conflict between these Affiliate Terms and the Terms of Service with respect to the Program, these Affiliate Terms control.

By submitting an application to the Program and clicking “I agree” (or any equivalent affirmation), you represent that you have read, understood, and agree to be bound by these Affiliate Terms. If you do not agree, you may not apply to or participate in the Program.

1. Eligibility and Application

To apply to the Program, you must:

  • Be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract in your jurisdiction;
  • Have an active, in-good-standing Stacked Club Account;
  • Not be located in, a national of, or a resident of any country or territory subject to comprehensive U.S. economic sanctions, or otherwise prohibited from participating under U.S. export controls or sanctions laws (see Section 22 of the Terms of Service);
  • Not be on any government denied-parties or sanctions list;
  • Have the legal right to receive payment in the country in which you reside; and
  • Comply with all applicable laws in your jurisdiction of residence.

The Program is by application and approval only. Submission of an application does not guarantee acceptance. Stacked may approve, reject, or revoke approval of any applicant at any time in its sole discretion, with or without explanation. Approval to the Program is personal to you and may not be transferred or assigned.

2. Independent Contractor Status

You are an independent contractor with respect to Stacked, and not an employee, agent, joint venturer, franchisee, partner, or legal representative of Stacked. Nothing in these Affiliate Terms creates any employment, agency, joint venture, partnership, or franchise relationship. You have no authority to make any representation, contract, or commitment on behalf of Stacked, and you may not hold yourself out as an authorized spokesperson, representative, agent, or employee of Stacked. You are solely responsible for all of your own expenses, taxes (including self-employment, income, and any value-added taxes), insurance, and benefits arising from your participation in the Program.

3. Affiliate Links, Cookies, and Attribution

Upon approval, Stacked will provide you with one or more unique tracking links (“Affiliate Links”) and may provide additional creative assets (banners, copy snippets, logos) for use in your promotional activity (collectively, “Affiliate Materials”). A referral is attributed to you when:

  • A prospective User clicks your Affiliate Link;
  • A tracking cookie (or equivalent server-side identifier) is set on the prospective User’s device;
  • The prospective User creates a Stacked Club Account and/or completes a qualifying purchase within the cookie attribution window (currently sixty (60) days from the initial click), subject to the rules in this Section.

Last-click attribution. Where a prospective User clicks Affiliate Links from multiple Affiliates within the attribution window, commission is attributed to the last Affiliate Link clicked before the qualifying conversion event, unless Stacked, in its reasonable discretion, determines that a different attribution model applies in a specific case.

Self-referrals prohibited. You may not refer yourself, members of your household, accounts you control, or accounts created using payment methods, devices, or IP addresses associated with you. Self-referrals will be reversed and may result in termination.

Cookie window may change. Stacked reserves the right to modify the cookie attribution window at any time with thirty (30) days’ notice via email or in-dashboard notification.

4. Commission Structure

Member Referral Program (open to all Users; one-time bounties). Where Stacked operates a lighter member-referral program, its bounty structure is published separately and summarized in the Affiliate Dashboard at the time of your participation.

Affiliate Partner Program (approved Affiliates only; recurring rev share). Approved Affiliates earn commissions on qualifying purchases made by their attributed referrals. Commission rates are tier-based and recalculated monthly based on Active Referrals (defined below).

Active Referral means a referred User whose Stacked AI Coach subscription is paid and in good standing within the prior thirty (30) days. Tiers are recalculated on the first day of each calendar month based on Active Referral counts as of the last day of the prior month.

Stacked AI Coach commission is paid as a percentage of the net subscription revenue Stacked actually receives from each attributed referral, after deducting payment-processing fees, refunds (where required by law), and chargebacks. Commission accrues for as long as the referred User maintains an active, paid Stacked AI Coach subscription.

Stacked Education commission is a one-time bounty paid on each attributed referral’s first successful purchase of Stacked Education lifetime access.

No commissions on: Stack Coin purchases, Trading Reports under $20, free trials that do not convert, refunded purchases, chargebacks, fraudulent transactions, taxes, or any other Paid Product not expressly listed in this Section.

Stacked may modify the commission structure (rates, tiers, qualifying products, attribution windows, payout schedules) with thirty (30) days’ notice via email or in-dashboard notification. Continued participation in the Program after the notice period constitutes acceptance of the modified structure.

5. Payment Terms

Payment processor. Commissions are paid via Stripe Connect (Express accounts). You must complete Stripe Connect onboarding — including identity verification (KYC), tax-form submission, and bank-account or debit-card linking — before receiving any payout. You authorize Stacked and Stripe to process payments and reversals in accordance with these Affiliate Terms and Stripe’s terms.

Payout schedule. Commissions accrue daily and are paid out monthly, on or about the 15th of each month, for commissions cleared during the prior calendar month, subject to the holding period below.

Holding period. Each commission is held for fifteen (15) days after the corresponding charge to the referred User clears, to allow for chargeback and dispute exposure. Commissions that survive the holding period are released to your pending balance and paid out on the next monthly payout date.

Minimum payout threshold. Payouts are issued when your cleared balance reaches fifty U.S. dollars ($50.00 USD) or more. Balances below the threshold roll over to the following month.

Chargebacks and clawbacks. If a referred User initiates a successful chargeback, requests and receives a legally required refund, or is determined by Stacked to be a fraudulent referral, the corresponding commission (and any tier-qualifying credit) will be reversed and clawed back from your pending or future commission balance. If your account does not have sufficient balance to cover a clawback, Stacked may invoice you for the deficit, set off the deficit against future commissions, or, in cases of repeated or fraudulent clawbacks, terminate your participation.

Taxes. You are solely responsible for all taxes owed on commissions. Stacked will issue an IRS Form 1099-NEC (or equivalent) to U.S. Affiliates who earn $600 or more in a calendar year. Non-U.S. Affiliates may be required to submit Form W-8BEN or equivalent documentation; Stacked may withhold taxes where required by law.

Currency. Commissions are denominated and paid in U.S. dollars (USD). Currency conversion (if applicable) is handled by Stripe according to Stripe’s then-current rates.

Unclaimed commissions. Commissions that remain unclaimed (for example, because you have not completed Stripe onboarding) for more than twelve (12) months from the date they cleared will be forfeited, to the maximum extent permitted by applicable law.

6. FTC Compliance and Required Disclosures (Mandatory)

You agree to comply with all applicable laws, rules, and regulations governing endorsements, testimonials, and advertising disclosures, including, where applicable, the U.S. Federal Trade Commission’s Endorsement Guides (16 CFR Part 255), the FTC Act, the CAN-SPAM Act, the Telephone Consumer Protection Act, U.K. CAP Code, EU Unfair Commercial Practices Directive, ASIC guidance, and any equivalent rules in your jurisdiction.

Required disclosure. Every piece of promotional content (whether a tweet, X post, Instagram post, Instagram Story, TikTok, YouTube video, YouTube Short, blog post, email, Discord message, podcast episode, livestream, or any other format) that includes an Affiliate Link or otherwise promotes Stacked Club must include a clear and conspicuous disclosure of your affiliate relationship with Stacked. Examples of compliant disclosure language:

  • “#ad” or “#sponsored” (placed at the start of the post, not buried in hashtags at the end)
  • “Affiliate link — I earn a commission if you sign up”
  • “Stacked Club affiliate partner”
  • “Paid partnership with Stacked Club”
  • “I’m a Stacked Club partner and earn commission on referrals”

Disclosures must be in the same language as the content, must not be hidden, must not require the viewer to click “read more” to see, and must appear above or alongside the Affiliate Link — not buried at the end of a long post or in a video description that requires scrolling. Stacked may require you to update non-compliant content within forty-eight (48) hours of notice.

7. Prohibited Promotional Tactics

You may not, and may not enable, encourage, or permit any third party to:

  • Make any income claim, return claim, performance claim, or earnings claim about Stacked Club, Stacked AI Coach, Stacked Education, or any User’s experience that is not (a) factually accurate, (b) typical of Users (not cherry-picked outliers), and (c) supported by current, written substantiation that you can produce to Stacked on request. “I made $50,000 trading with Stacked,” “guaranteed profits,” “100% win rate,” and any similar claim are strictly prohibited unless you can document them and unless they comply with FTC Guides.
  • Misrepresent Stacked as a real-money trading platform, broker-dealer, investment adviser, signal service, or any service that produces guaranteed financial returns. Stacked is paper trading and education.
  • Use Stacked trademarks, logos, screenshots, or copyrighted materials except as expressly permitted in Section 8.
  • Bid on Stacked’s branded keywords (including “Stacked Club,” “Stacked AI Coach,” “Stacked Education,” common misspellings, or any variation likely to confuse) in any paid search advertising (Google Ads, Bing Ads, Meta Ads, etc.) or any equivalent paid placement platform.
  • Register or use domain names, social media handles, or app names that contain “Stacked,” “Stacked Club,” or any confusingly similar variant.
  • Send unsolicited bulk email (“spam”), SMS, or messaging-platform messages promoting Stacked, or violate any anti-spam law including the CAN-SPAM Act, CASL, GDPR, or equivalent.
  • Use cookie-stuffing, forced clicks, iframes, hidden Affiliate Links, redirect chains designed to trigger attribution without user knowledge, or any other deceptive attribution-manipulation technique.
  • Promote Stacked on websites or in communities containing illegal content, sexually explicit content, hate speech, violence, harassment, gambling content that is illegal in the viewer’s jurisdiction, or any content that violates Stacked’s Terms of Service.
  • Run pyramid schemes, multi-level marketing structures, or claim to enroll sub-affiliates who earn from your referrals. The Program is single-tier.
  • Impersonate Stacked staff, Stacked partners, or any other person.
  • Solicit, encourage, or facilitate fraudulent signups, multi-accounting, signups from sanctioned jurisdictions, or signups by minors under thirteen (13).
  • Promote Stacked through giveaways, prize pools, contests, or sweepstakes without Stacked’s prior written approval, or through any means that could be construed as offering “something of value in exchange for a signup” in a way that violates lottery, gambling, or consumer-protection law.
  • Make any statement that disparages Stacked, its founders, employees, partners, or other Affiliates.
  • Use generative AI to produce promotional content that includes fabricated user testimonials, fabricated screenshots, fabricated price predictions, or any content that implies a Stacked endorsement that does not exist.

8. License to Use Stacked Brand Assets

Subject to your continuing compliance with these Affiliate Terms, Stacked grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Stacked Club name, logo, and approved creative assets — solely as provided in the Stacked Affiliate Brand Kit — for the sole purpose of promoting your Affiliate Link in compliance with these Affiliate Terms. You may not (a) modify, distort, recolor, animate, or otherwise alter the Stacked logo or wordmark, (b) combine Stacked marks with your own marks in a way that creates a unified or co-branded mark, (c) use Stacked marks in any URL, social handle, or app name, (d) imply endorsement, sponsorship, or partnership beyond your status as an Affiliate, or (e) continue to use any Stacked mark after termination of your participation in the Program. All goodwill arising from your use of Stacked marks inures to the benefit of Stacked.

9. Confidentiality

In the course of your participation in the Program, you may receive non-public information about Stacked, including conversion data, payout structures, planned features, performance benchmarks, internal tooling, and business strategy (“Confidential Information”). You agree to (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to any third party without Stacked’s prior written consent, and (c) use Confidential Information only for the purpose of your participation in the Program. This obligation survives termination of your participation for a period of three (3) years. Confidential Information does not include information that is publicly available through no breach of this Section.

10. Suspension, Termination, and Survival

Termination by you. You may terminate your participation in the Program at any time by sending written notice to Stacked using the contact information published on stackedclub.com. Termination is effective upon receipt.

Termination by Stacked. Stacked may suspend or terminate your participation in the Program at any time, with or without cause, with or without notice, including (without limitation) for:

  • Breach of any provision of these Affiliate Terms or the Terms of Service;
  • Suspected fraud, abuse, or attribution manipulation;
  • Failure to make required FTC disclosures;
  • Making false, misleading, or unsubstantiated income claims;
  • Engaging in prohibited promotional tactics (Section 7);
  • Damaging Stacked’s brand, reputation, or relationships with Users;
  • Inactivity (no qualifying referrals for ninety (90) consecutive days);
  • A change in applicable law that makes the Program (or your participation) unlawful; or
  • For any other reason at Stacked’s reasonable discretion.

Effect of termination. Upon termination for any reason:

  • Your Affiliate Links, tracking, and access to the Affiliate Dashboard will immediately cease.
  • Your license to use Stacked Affiliate Materials and brand assets immediately terminates. You must remove all Stacked references, logos, screenshots, and Affiliate Links from your platforms within seven (7) days.
  • Termination without cause: any cleared, undisputed commissions in your account at the time of termination will be paid out on the next scheduled payout date, subject to the minimum threshold. Pending (un-cleared) commissions will be released at the end of the holding period and paid on the following monthly payout date.
  • Termination for cause (fraud, breach, prohibited conduct): any unpaid commissions — cleared, pending, or accrued — are forfeited, to the maximum extent permitted by law, and Stacked may pursue clawback of previously paid commissions attributable to fraudulent or breaching conduct.

Survival. Sections 2, 5 (with respect to clawbacks and tax obligations), 6, 7, 8 (with respect to post-termination removal), 9, 11, 12, 13, 14, 15, and 16 survive termination.

11. Disclaimer of Warranties

THE PROGRAM, THE AFFILIATE DASHBOARD, AFFILIATE LINKS, AFFILIATE MATERIALS, AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. STACKED MAKES NO WARRANTY, EXPRESS OR IMPLIED, REGARDING THE PROGRAM’S AVAILABILITY, UPTIME, ATTRIBUTION ACCURACY, TRACKING ACCURACY, CONVERSION RATES, EARNING POTENTIAL, OR FITNESS FOR ANY PARTICULAR PURPOSE. STACKED DOES NOT GUARANTEE THAT YOU WILL EARN ANY COMMISSIONS, ANY PARTICULAR AMOUNT, OR THAT THE PROGRAM WILL CONTINUE TO OPERATE INDEFINITELY.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STACKED’S TOTAL CUMULATIVE LIABILITY TO YOU IN CONNECTION WITH THE PROGRAM, FROM ALL CAUSES AND UNDER ALL THEORIES, WILL NOT EXCEED THE GREATER OF (A) THE TOTAL COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED U.S. DOLLARS ($100.00 USD). IN NO EVENT WILL STACKED BE LIABLE TO YOU FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST OPPORTUNITY, LOSS OF GOODWILL, OR ANTICIPATED COMMISSIONS, WHETHER OR NOT STACKED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to indemnify, defend, and hold harmless Stacked, its affiliates, officers, directors, employees, agents, partners, licensors, and suppliers (the “Indemnified Parties”) from and against any and all claims, demands, actions, causes of action, liabilities, damages, losses, judgments, fines (including FTC and equivalent regulatory penalties), penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

  • Your participation in the Program;
  • Your promotional content, statements, claims, or marketing activities;
  • Your breach of these Affiliate Terms, the Terms of Service, or any applicable law (including the FTC Endorsement Guides, CAN-SPAM, GDPR, or any equivalent);
  • Your unauthorized use of Stacked marks or Affiliate Materials;
  • Any income claim, return claim, or performance claim you make about Stacked or the Platform; and
  • Any dispute between you and a third party (including a referred User, a regulatory authority, or an audience member) arising from or related to your participation in the Program.

Stacked reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with Stacked’s defense.

14. Governing Law; Arbitration

These Affiliate Terms are governed by the laws of the State of Wyoming, United States of America, and applicable U.S. federal law, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Affiliate Terms or the Program is subject to the same binding individual arbitration and class-action waiver provisions set out in Section 24 of the Terms of Service, which are incorporated here by reference and apply equally to disputes between you and Stacked arising under these Affiliate Terms. The thirty (30)-day arbitration opt-out right described in Section 24 of the Terms of Service applies separately to your initial acceptance of these Affiliate Terms.

15. Changes to These Affiliate Terms

Stacked may modify these Affiliate Terms from time to time. Material changes (including changes to commission rates, payout schedules, the holding period, prohibited conduct, or termination rights) will take effect thirty (30) days after Stacked sends notice via email to the address associated with your Affiliate account or via in-dashboard notification. Non-material changes (typo corrections, clarifications, updated contact information) take effect upon posting. Your continued participation in the Program after the effective date of a change constitutes acceptance. If you do not agree to a change, you may terminate your participation under Section 10.

16. Miscellaneous

Entire agreement. These Affiliate Terms, together with the Terms of Service and Privacy Policy, constitute the entire agreement between you and Stacked regarding the Program and supersede any prior or contemporaneous agreements on the subject.

Severability. If any provision is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable or, if that is not possible, severed, with the remainder remaining in full force.

Waiver. Stacked’s failure to enforce any provision is not a waiver.

Assignment. You may not assign these Affiliate Terms or any rights hereunder without Stacked’s prior written consent. Stacked may assign freely.

Notices. Notices to Stacked must be sent using the support contact published on stackedclub.com. Notices to you will be sent to the email address associated with your Affiliate account.

Headings. Headings are for convenience only and have no legal effect.
